Key Accountability
1. Legal task
a) Legal advice (10%)
Assist or participate in identifying, analyzing legal issues and legal risks, and providing legal opinion on matters relating to daily business operations of functional departments in a timely and accurate manner;
In Monitoring changes to laws and regulations
In Handling disputes and cases
b) Legal review (30%)
Assist or participate in preparation/review/update of new insurance product programs, internal regulations of the Company when requested;
Assist or participate in drafting, reviewing, negotiating contracts, agreements, other documents and materials as instructed by the Line Manager and/or requested by the functional departments, in a timely and accurate manner;
Review main contents of the Company‘s website and marketing materials for ensuring legal compliance and protecting the Company‘s reputation;
Perform legal checking on the Company‘s documentation prepared by functional departments before submitting it to competent authorities or other organizations; and/or before publishing for ensuring all in compliance with the applicable laws;
c) Laws and regulations updates (10%)
Update new legal information/documents to the overall Company, including assess the impact of new/amended laws and regulations on the business and provide appropriate solutions that may be taken in countering the impact and meeting legal requirements;
Do research and prepare the Company’s official letter(s) to give comments on the laws and regulations governing the Company operations;
d) Dispute settlement (10%)
Represent Company in legal dispute if and when applicable;
Engage, instruct and manage external lawyer as necessary;
Work and cooperate with external lawyer on dispute cases and keep Company’s management updated with latest status of those cases.
e) Corporate Government (35%)
Manage and administer the Company’s organizational structure regulations and delegation of authority table;
Draft, submit for approval, and manage Resolutions of the Members Council;
Perform other tasks related to the Company’s corporate governance activities.
2. Other Task (5%)
a) Maintain the filing of documents of Legal function;
b) Perform other works as the Line Manager/Head of Department may assign from time to time.
Requirements
Qualification and Experience
- Graduated from Law University. Lawyer practicing certificate is an advantage;
- At least 3-5 years of experience working for law firms or as a legal counsel for companies operating in insurance, finance or bank sectors;
- Experience with litigations at the Court and Arbitration.
Knowledge
- In-depth knowledge of Vietnamese laws and regulations, especially insurance business law, corporate law, labor law, investment and finance laws.
- Able to work under pressure, manage large amount of paperwork and multi-task;
- Ability to work independently;
- Detail oriented, critical thinking and commercial mindset;
- Proficient with MS Office applications like Word, Excel, PowerPoint, etc;
- Familiar with AI tools and other advanced IT tools.
